BlackBird Design – Terms & Conditions
These Terms & Conditions apply to all graphic design services provided by BlackBird Design (“the Designer”). By booking a project, paying a deposit, or approving work, you (“the Client”) agree to these terms.
1. Ownership & Copyright
• All designs remain property of the Designer until full payment is received.
• Once paid in full, you receive commercial usage rights to the final approved designs.
• Drafts, unused concepts, sketches, and preliminary ideas remain the Designer’s property.
• Source files (AI, PSD, INDD, etc.) are not included unless purchased separately.
2. Legal & Trademark
• I do not provide legal or trademark advice.
• You are responsible for trademark searches and legal clearance.
3. Licensed Assets
• Some fonts, images, or graphics may require additional licensing.
• You are responsible for purchasing licences unless otherwise noted.
• Rejected concepts may not be reused, recreated, or used to train AI systems.
4. Scope of Work
• All work included in your project is outlined in your Proposal or Agreement.
• Additional work or extra revisions may incur extra charges.
• Rush projects may be subject to a rush fee.
5. Feedback & Revisions
• Revisions are limited to the number stated in your Agreement.
• Delayed feedback may extend the timeline.
6. Inactive Projects
• If you become unresponsive for 10 business days, the project may be paused.
• Projects paused for 45+ days may be closed and billed for completed work.
7. Payment
• A non-refundable deposit is required to begin.
• Final files are delivered after full payment.
• Late invoices may incur interest.
• Using designs before final payment may result in penalty fees.
8. Printing & Technical Limitations
• Colour variations between screens and printers are normal.
• The Designer is not responsible for printing errors by third-party vendors.
• Modified artwork is not supported.
9. Cancellations
• Deposits are non-refundable.
• A kill fee may apply for cancelled projects after work has begun.
10. Liability
The Designer is not liable for indirect, incidental, or consequential damages.
11. Portfolio Use
• Completed work may be displayed on the Designer’s website or portfolio unless confidentiality is requested in advance.
12. Governing Law
These Terms are governed by Ontario, Canada.
